These Terms of Service (“Terms”) govern your use of the Palogen website located at [www.palogen.com], mobile applications, breath-based glucose monitoring device (“Device”), and all related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract. You may not use the Service if you are located in a country that is subject to U.S. government embargo or designated as a terrorist-supporting country.

2. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Nature of the Service – Important Health Disclaimer

The Device and Service are intended for general wellness and informational purposes only.
They are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease, including diabetes.
Results provided are estimates and should never replace professional medical advice, diagnosis, or treatment.
Always consult a qualified healthcare provider before making any medical decisions based on information from the Service.

4. Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and the Device’s software/firmware for your personal, non-commercial wellness purposes.

5. Prohibited Conduct

You agree not to:

Use the Service for any unlawful purpose
Reverse-engineer, modify, or tamper with the Device or software
Interfere with or disrupt the Service
Share your account with others or use someone else’s account

6. Intellectual Property

All content, trademarks, software, firmware, and materials on the Service (except your personal data) are owned by Palogen or its licensors.

7. Disclaimer of Warranties

THE SERVICE AND DEVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY OF RESULTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALOGEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM (OR $100 IF YOU PAID NOTHING).

9. Indemnification

You agree to defend, indemnify, and hold harmless Palogen and its officers, employees, and agents from any claims arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12. Dispute Resolution

Any dispute will be resolved by binding AAA arbitration in San Francisco, California, on an individual basis (no class actions). We may seek injunctive relief in any court for IP violations.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on the website or app. Your continued use after changes constitutes acceptance.
